Relationship of Parties: You
and RGS Technologies, SmartMonitoring and AlarmTech are independent contractors,
and nothing in this Agreement will create any joint venture, agency, franchise,
sales representative, or employment relationship between the parties. You
will have no authority to make or accept any offers or representations on
behalf of SmartMonitoring/AlarmTech. You will not make any statement, whether
on your web site or otherwise, that reasonably would contradict anything in
this Section.
RGS Technologies/SmartMonitoring/AlarmTech reserves the
right, in its sole discretion, to reject your application or terminate your
enrollment in the dealer program for any reason. We
will reject or terminate associates that are unethical, dishonest, exhibit
consistent poor workmanship in their service or installation, operate sites
containing pornographic or adult-themed material, get rich quick schemes,
products or services involving deceptive marketing practices, hate
messages or any other content which fails to maintain RGS Technologies/AlarmTech/Med-Alert/Smart-Track
and SmartMonitoring's high standards, good image and reputation, or which
RGS Technologies believes to be obscene or indecent or otherwise objectionable.
Terminated dealers can still use our central station
services, but will not be able to display our names or logos, or be listed
in any of our web sites or referred new customers.
1. AlarmTech
is acting as an independent dealer network to the central stations that
are partnered with our group. We are not a central
station. Our purpose is to offer discounted security and monitoring
services for consumers through the Internet via our clients and associates,
use our group of Web sites to promote associates that join us, give all
leads coming in to our associates and build a buyers group as we grow. We
will also give dealers the ability to offer medical alert, GPS and other
security and business services that we may offer through their company.
Associates will get links and web pages to promote their company. We are
giving our dealer monitoring to our partnered central stations in exchange
for better rates for our group of dealers that use their services. RGS clients
and associates will follow the procedures of the central station they choose
to work with. Read partner Central Station contracts before you sign to
determine any and all changes from this document. Subscriber agrees that
Central Station monitoring shall be subject to all of the provisions of
this Agreement and shall not commence until the RGS Technologies and the
Central Station have received all of the following documentation from Installer:
a. A complete description of the signals
which subscriber's system is capable of sending to the Central Station;
and
b. Subscriber's name, premises address
and premises telephone number; and
c. Subscriber's alarm permit number, if
a permit is required by law; and
d. A list of representatives, designated
by Subscriber, who can respond to the premises on Subscriber's behalf in
the event of an emergency, including telephone numbers; and
e. The original copy of this Agreement,
signed by contractor.
2. RGS
has no relationship with Central Stations, clients and associates except
as described in this Agreement and has not evaluated, designed or approved
the Subscriber's system or equipment. Clients and associates understand
and agree that the RGS Technologies and the central Stations are not responsible
for the condition, operation, installation, maintenance, repair, testing
or supervision of any component of the alarm system or the telephone line
or other means used to transmit alarm signals.
3. It
is understood and agreed that RGS Technologies is not an insurer and that
insurance covering personal injury, property damage and theft shall be obtained
by Clients and Associates. Clients and associates hereby waives and releases
any and all rights to recover damages from the RGS Technologies in connection
with any of the losses described in this paragraph.
4. RGS
clients and associates understand and agree that if RGS Technologies should
be found liable for loss, damage or injury from the failure to perform its
obligations under this Agreement, whether due to negligence or otherwise,
RGS Technologies liability shall be limited to one hundred ($100.00) dollars,
as liquidated damages and not as penalty. This shall be the sole liability
of RGS Technologies and the exclusive remedy, legal or equitable, of the
Client, associate, and all others to whom it may be determined RGS Technologies
is liable under this Agreement. This provision shall apply if liability,
regardless of cause or origin, results directly or indirectly to persons
or property from performance or nonperformance of RGS Technologies, the
Central Station's obligations or from negligence, active or otherwise, of
RGS Technologies, the Central Station, its agents, employees or assigns.
5. RGS
Technologies may terminate this Agreement upon thirty days notice to the
Client or associate. Client or associate may terminate this Agreement upon
the same notice unless such right is limited by the terms of a separate
Agreement in our guidelines.
To register, you must complete and submit the registration
application at the top of this page and our guidelines and liability at
the bottom of this page. Please check the boxes agreeing to our terms. By
sending in your application, you are indicating your acceptance of the terms
and conditions of this Agreement. SmartMonitoring/AlarmTech will evaluate
your application and, upon acceptance, enroll you into our dealer program.
The main points of our dealer guidelines are below:
- All clients/Associates must agree to conduct business
in a professional manner providing quality work and services to all customers
in a timely fashion.
- Clients/Associates will be honest
and ethical in all business dealings and be respectful of the customer
and their needs.
- Clients/Associates will be fully
insured bonded and licensed (if applicable in your state).
If you install any fire systems, you must be fire licensed. All
affiliates will add RGS Technologies as an "also insured" on
their basic policies.
- The SmartMonitoring/AlarmTech associates will help promote
our group and each other. We will direct interested affiliates to classes
on Internet marketing. To beat the "big guys", we have to work
on a strong Internet presence. Our group must show up on the first or
second page of all security related Internet searches.
- All dealers agree to use our partner
central stations for their security monitoring.
All associates must set up an account with one of our UL listed central
stations to monitor your accounts. We ask all associates to move their
existing monitored accounts to our partner central stations within two
years. All new monitored accounts must go through one of our partner central
stations.
- Our Central Station partners can provide you with an
800 receiver number that your dealership owns. Should you
ever sell your accounts or move to another receiver, you only have to
make one phone call instead of reprogramming all your panels.
- On all accounts, you maintain ownership of your accounts
at all times. Monitored accounts cannot be moved from the SmartMonitoring/AlarmTech
partner monitoring station while we are in affiliation (One year minimum
except by customer default).
- Members and affiliates agree
to charge customers coming in through the SmartMonitoring/AlarmTech network
the posted prices for monitoring ($17.95 basic).
Associates opting in on our web site special pricing agree to charge
posted prices on select security equipment, services and specials that
we will run on our site (except Client Members).
- You are responsible for support and servicing
of your accounts. If you should be unable to service
your own accounts, we reserve the right to service/repair the alarm for
the customer and charge your account..
